CONSTITUTION
COOKEVILLE REPEATER ASSOCIATION
Article I: Membership
Section 1. All persons interested in amateur radio shall be eligible for membership. The repeater shall be an open repeater to all properly licensed amateurs. The auto patch shall be restricted to members in good standing.
Section 2. The purpose of this association is to promote friendship and mutual service to the area.
Article II: Officers
Section 1. The officers of this association or club shall be:
A President, a vice-president, a Secretary and a Treasurer. The offices of Secretary and Treasurer may be occupied by one person or be divided and occupied by two persons. This shall be established by majority vote of the club membership present at the meeting each year when nominations are made.

Section 2. The officers of this club shall be elected for a term of one year by ballot of the members present at the first meeting of the calendar year. Nominations shall be presented to the membership at the last meeting of each calendar year.
Section 3. Vacancies occurring between elections must be filled by special ballot at the first regular meeting at which the withdrawal or resignation is announced.
Section 4. Officers may be removed by motion and a two-thirds vote of the membership.
Article III: Duties of officers
Section 1. The President shall preside at the meetings of this association and conduct them according to the rules adopted; he shall enforce due observance of the Constitution and by-laws decide all questions of order, sign all official documents that are adopted by the club, and perform all customary duties pertaining to the office of President.
Section 2. The Vice President shall assume all the duties of the President in the absence of the latter. The Vice President of the Association shall serve as the Activities Manager for the Association. He may appoint committees or assistants to aid him in specific branches of activity.
Section 3. The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, submit applications for membership, carry on all correspondence, read communications at each meeting and notify members of meetings of the club. Assistance may be requested in notifying members of the meetings. He shall at the expiration of his term turn over everything in his possession belonging to the Association to his successor.
Section 4. The Treasurer shall receive all moneys paid to the Association. He shall keep an accurate account of all moneys received and expended. He shall pay no bills without proper authorization (by the Association officers which constitutes the business committee). At the end of each quarter he shall submit an itemized statement of disbursements and receipts. He shall at the expiration of his term turn over all records and moneys in his possession belonging to the Association to his successor.
Article IV: Meetings
Section 1. Modified Roberts Rules of Order shall govern proceedings.
Section 2. Regular meetings shall be held the third Monday night of each quarter starting with the third Monday night in January 1978. Special meetings may be called by the President. All members of the association shall be notified of the meeting at least two days in advance of the meeting. The members present at the meeting shall constitute a quorum for the transaction of business. The notification requirement is satisfied when an honest effort has been made to contact the members.
Article V: Dues
Section 1. The association, by majority vote of a quorum present at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization to remain on a sound financial basis. Non-payment of such dues or assessments shall be cause for expulsion from the association, and no member shall have any voting rights unless his dues are currently paid
Article VI: Amendments
Section 1. The Constitution may be amended by mailing a ballot to all members with a fifteen day period for ballots to be returned. Two thirds of the ballots returned voting for or against shall determine if the amendment passes or fail.
